A break clause in a commercial lease is a contractual right allowing either the landlord or the tenant (or both) to end the lease before the contractual expiry date, provided that certain conditions are met. Break clauses are one of the most heavily litigated areas of commercial property law — because getting them wrong can mean a business is locked into premises it no longer needs, or faces unexpected costs and disputes with its landlord.

What is a Break Clause in a Commercial Lease?
A break clause is usually triggered by service of a written break notice on the other party within a specified period before the break date. The break date itself may be a fixed date within the lease term (for example, at year five of a ten-year lease) or a rolling right exercisable at any time after a certain period.
Break clauses are commercially important because they give tenants flexibility to exit premises if business circumstances change, while landlords may seek break rights to redevelop a property or bring in a different tenant. The conditions attached to break clauses are strictly enforced by the courts, and even minor non-compliance can invalidate the exercise of the break right.
Types of Break Clauses: Tenant-Only, Landlord-Only and Mutual
Commercial leases can include break clauses in favour of one or both parties. The three main types are:
Tenant-Only Break Clauses
These are the most common and give the tenant alone the right to terminate the lease early. From a tenant's perspective, a tenant-only break provides flexibility without giving the landlord the ability to force an early exit. For example, a retail tenant on a ten-year lease might negotiate a tenant-only break at year five if trade is below projections.
Landlord-Only Break Clauses
Landlord-only breaks give the landlord the right to terminate the lease early — typically to redevelop the property or secure vacant possession for their own use. These are generally less favourable for tenants and should be scrutinised carefully before signing. A landlord break may undermine the security of tenure protections otherwise available under the Landlord and Tenant Act 1954.
Mutual Break Clauses
A mutual break clause gives both the landlord and the tenant the right to terminate early by serving notice. Mutual breaks are less common but may arise in circumstances where both parties value flexibility — for example, on short commercial leases or where the property is being redeveloped. From the tenant's perspective, a mutual break provides less security than a tenant-only break because the landlord retains the ability to end the tenancy at a time that may not suit the business.
How to Exercise a Break Clause Correctly
Exercising a break clause correctly is critically important. Courts have consistently held that break clause conditions must be strictly complied with — there is very little room for error. The following steps set out the process:

Check Notice Requirements
Review the lease carefully to identify the break date, the required notice period (typically six months for tenant break clauses), the form notice must take (usually written notice served in a prescribed way), and to whom it must be delivered. The notice period is strictly construed — serve too late and the right is lost.

Serve Notice Correctly
Serve written notice strictly in accordance with the lease. This typically means delivering notice to the landlord's registered address or the address stated in the lease for service. Consider using recorded delivery and a process server to create a clear evidential record of valid service. Keep all copies and proof of service.

Comply with All Conditions
Most break clauses require you to comply with all lease covenants up to and including the break date. This usually means paying all rent on time, ensuring the property is given back with vacant possession (no occupiers, no goods left behind), and remedying any material breaches of your repairing obligations before the break date.

Confirm Termination
Once the break date passes and all conditions have been met, the lease terminates. Obtain written confirmation from your landlord. Be aware that if the Landlord and Tenant Act 1954 applies to your lease, the statutory right to a new tenancy may still need to be formally surrendered or excluded. Take legal advice before assuming the lease has ended.
What Conditions Must Be Met to Exercise a Break Clause?
The conditions attached to break clauses vary between leases, but the most common requirements are:
- No rent arrears: All rent and other sums due under the lease must be paid up to date on or before the break date. Even a small amount of unpaid rent can invalidate a break notice.
- Vacant possession: The property must be handed back free of all occupiers and personal property belonging to the tenant. Sub-tenants must have vacated and any licences to occupy must have ended.
- Compliance with covenants: Many leases require the tenant to have complied with all of its covenants — including repair and decoration obligations — up to the break date. Some leases limit this to material or substantial compliance, which gives tenants more flexibility.
- Other conditions: Some leases include additional conditions specific to the property or the tenant's business. Always read the break clause provisions carefully and take specialist legal advice before attempting to exercise the right.
What Happens if You Get the Break Clause Wrong?
If the break clause is not exercised correctly, the consequences can be severe for a tenant. The most significant risk is that the lease continues in full force — meaning the tenant remains bound by all of its obligations, including paying rent, for the remainder of the contractual term. On a long commercial lease, this could mean years of unwanted liability.
Common mistakes include serving break notice to the wrong address, serving notice too late, failing to pay all sums due before the break date, and leaving goods or equipment in the property so that vacant possession is not achieved. In some cases, landlords actively look for reasons to argue a break has not been validly exercised in order to retain a rent-paying tenant.
If you are served with a break notice as a landlord, you should take legal advice promptly to assess whether the notice has been validly served and all conditions met. If you are a tenant, instruct a solicitor well in advance of the break date to ensure every step is carried out correctly.
Break Clauses and the Landlord and Tenant Act 1954
Where the Landlord and Tenant Act 1954 applies to a commercial lease (i.e. the lease has not been contracted out of the Act), the tenant may have a statutory right to a new tenancy at the end of the lease term. The interaction between break clauses and the 1954 Act is important: if a tenant exercises a break clause, this brings the tenancy to an end and the statutory right to a new tenancy does not arise in respect of the break. However, if the lease is within the protection of the Act and the break right lapses, the tenant retains security of tenure at the contractual expiry date. Tenants with contracted-out leases should be aware that they have no statutory right to renewal regardless of the break position.
Negotiating a Break Clause in Your Commercial Lease
When negotiating a new commercial lease, seek to include a break clause in your favour at the earliest opportunity — ideally at a fixed point that aligns with your business planning horizon. Push to have conditions limited to payment of principal rent only (not service charges or insurance contributions) and to compliance with lease covenants in all material respects, rather than strict compliance. Avoid landlord-only break provisions unless you receive a significant concession in return. Frequently Asked Questions About Break Clauses
- The notice period depends on what is stated in the lease. Most commercial lease break clauses require between three and six months' written notice before the break date. Some leases specify a longer period. The break notice must be served strictly in accordance with the lease terms — if you serve notice too late, or to the wrong address, the right to break is usually lost entirely. Always check your specific lease and take legal advice before serving notice.
- A landlord cannot simply refuse to accept a validly served break notice — once notice is properly served in accordance with the lease, the break right is exercised. However, landlords frequently challenge break notices on technical grounds, such as incorrect service, late notice, or non-compliance with conditions. This is why precision in serving break notices is critical. If conditions such as vacant possession or rent payment are not met, the landlord may argue the break has not been validly exercised even if notice was served.
- Vacant possession means returning the property to the landlord free from any occupiers, sub-tenants, and personal property belonging to the tenant. Courts have interpreted vacant possession strictly — leaving equipment, fixtures not forming part of the demise, or sub-tenants in occupation can all prevent a break clause from being exercised. You should remove all items and ensure any sub-tenancies are surrendered before the break date. - Yes, it is possible to negotiate a break clause into an existing lease by way of a deed of variation. Whether the landlord agrees will depend on market conditions, the remaining term of the lease and your relationship with the landlord. In a tenant's market, landlords may be willing to grant a break in exchange for other concessions, such as a rent increase or a dilapidations payment.
